Terms and Conditions

1. Introduction

Welcome to Signum Connect  (the "Platform"), owned and operated by Signum Connect LLC ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Platform, including any content, functionality, and services offered on or through Signum Connect (the "Services"). By accessing or using the Platform, you ("you" or "User") agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.  

2. Account Creation and Use  

  • Account Registration: You may need to create an account to access certain features of the Platform. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.  

  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.  

  • Account Termination: We may terminate or suspend your account at our sole discretion, without notice, for any reason, including but not limited to breach of these Terms.

3. User Content

  • Definition: "User Content" means any content that you upload, post, transmit, or otherwise make available through the Platform, including but not limited to text, images, videos, and other materials.

  • Ownership: You retain ownership of your User Content.

  • License to Us: By submitting User Content to the Platform, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with the Platform and our business.  

  • Responsibility for User Content: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that your User Content does not violate any third-party rights, including copyright, trademark, privacy, or publicity rights.  

  • Prohibited Content: You agree not to post or transmit any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.  

4. Intellectual Property

The Platform and its content, including but not limited to text, graphics, logos, images, software, and code, are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use any content from the Platform without our prior written consent.  

5. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose.

  • Interfere with or disrupt the operation of the Platform.

  • Attempt to gain unauthorized access to the Platform or its systems.

  • Use any automated means to access the Platform.

  • Impersonate any person or entity.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability  

TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE PLATFORM; (D) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR PLATFORM BY ANY THIRD PARTY; (E) ANY ERRORS OR OMISSIONS IN ANY CONTENT; OR (F) ANY USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.  

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws, without regard to its conflict of law principles.

9. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on the Platform. Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the changes.
